Welcome to Agentsy Pty Ltd ("Agentsy"). Our AI productivity platform, Agentsy ("Platform"), is designed to help companies of all sizes streamline their operations using advanced Large Language Models (LLMs) and AI agents.
- Platform: Agentsy's AI productivity tool.
- Customer: Any business entity using the Platform.
- LLMs: Large Language Models such as GPT-4, Gemini Pro, or Claude Sonnet.
- Prompt: Customer requests transmitted to LLMs.
- Output: Responses generated by LLMs.
- AI agents: AI-enabled entities capable of executing tasks and delivering work.
- The Platform is designed for business Customers.
- Customers must comply with Agentsy's terms and conditions.
- Unauthorized sharing or distribution of the Platform is prohibited.
- Customers must register and create an account to access the Platform.
- Accurate and up-to-date information is required for account creation and maintenance.
- Keep your access data confidential.
- Subscription fees are billed monthly, on the anniversary of your sign-up date.
- Invoices will be charged to the provided credit card.
- Additional user licenses can be added and billed accordingly.
- All amounts are in USD and exclude tax.
- The Platform aims to be available 99% of the calendar month on average.
- Scheduled maintenance and force majeure events are not considered unavailability.
- Agentsy will notify Customers of planned maintenance at least 7 days in advance.
- Agentsy processes personal data in compliance with the Australian Privacy Act.
- No data or information that you submit to Agentsy is used to train our agents or any of the AI models that we use.
- Customer documents that are uploaded to the Platform are vectorised and the resulting data is quarantined from all other Customer data. All vectorised data is encrypted at rest and in transit.
- Customers must ensure they have the necessary rights to use and transmit any content provided to the Platform.
- Agentsy grants a time-limited, revocable, non-exclusive, and non-transferable right to use the Platform.
- Customers retain all ownership rights in the content that they input into the Platform and own all rights in the content they receive as output from the Platform.
- You acknowledge that due to the nature of artificial intelligence generally, output may not be unique and other users may receive similar content from our services.
- Output provided to other users will never contain your company specific inputs or data, nor will output provided to you contain other users' input or data.
- Customers may only use the Platform for their own business and personal activities.
- Unauthorized modification, reproduction, or distribution of the Platform is prohibited.
- The contract term is one month, with automatic renewal unless terminated 7 days before the end of the term.
- Either party can terminate the agreement for good cause.
- Customers wishing to terminate the agreement must do so by emailing hello@agentsy.ai.
- Upon termination, Customers must cease using the Platform.
- Agentsy is liable in cases of intent and gross negligence.
- Liability is limited to foreseeable and typical damage in other cases.
- Agentsy is not liable for the completeness and accuracy of Outputs generated by LLMs.
- Agentsy reserves the right to amend services and terms of use to accommodate changes in technical or legal conditions.
- Customers will be notified of amendments in advance by email.
- If Customers object to amendments, Agentsy may terminate the agreement with two weeks' notice.
- The agreement is governed by the laws of the Commonwealth of Australia.
- The exclusive place of jurisdiction is NSW, Australia.

- Customers are prohibited from using the Platform for any illegal activities, spamming, uploading harmful or malicious content, or any activity that disrupts the functionality of the Platform or harms other users.
- Users are expected to engage respectfully and responsibly while using the Platform. Any misuse or abuse may result in suspension or termination of access.
- Agentsy provides support services, including troubleshooting and technical assistance. Support can be accessed via hello@agentsy.ai. Response times may vary based on the nature of the issue but are generally within 12 hours.
- Agentsy will communicate any updates or maintenance schedules in advance. During maintenance periods, access to the Platform may be temporarily restricted.
- Customer Feedback: We love hearing from you! Any feedback or suggestions you provide become the property of Agentsy and may be used to enhance the Platform without any obligation to you.
- Any disputes arising out of or in connection with this agreement shall be resolved through binding arbitration in accordance with the rules of NSW Fair Trading. The place of arbitration shall be NSW, Australia.
- The governing language of this agreement is English.
- Agentsy shall not be liable for any failure to perform its obligations under this agreement if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, pandemics, and government actions.
- If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to its subject matter.
- All notices required or permitted under this agreement shall be in writing and shall be deemed delivered when sent by email to the addresses provided by the parties.
- By providing us with your email address, you grant Agentsy the right to communicate with you regarding your account, updates, and other relevant information about our services. We promise to keep our communications meaningful and relevant.
- Your privacy is important to us. We will not share your contact details with any third parties unless required by law. Rest assured, your information is safe with us.
